These Terms constitute a binding agreement between You and Hirepeak and are deemed accepted by You each time that You use or access any Hirepeak Site or Hirepeak Service. If you do not wish to accept the Terms stated here, do not use the Hirepeak Site or the Hirepeak Services. Hirepeak may change, revise, suspend or discontinue the Terms at any time with reasonable notice.
Users who violate these Terms may have their access and use of the Hirepeak sites suspended or terminated, at Hirepeak’s discretion. Hirepeak has the right to immediately remove any Content from the Site that violates these Terms.
As a subscriber to the Hirepeak Service (“User”) you acknowledge and agree to these Terms. Please be advised that the term User includes User’s employees, representatives, consultants, contractors, and agents and any other entity or individual that User authorizes to use the Hirepeak Service. The term User also includes any individual or other entity that submits any Content through the Content Generation feature (as defined below).
Hirepeak may revise these Terms at any time by posting an updated version to this Web page. You should visit this page periodically to review the most current Terms because they are binding on you.
You must be 13 years of age or older to visit or use any Hirepeak site in any manner, and, if under the age of 18 or the age of majority as that is defined in Your jurisdiction, must use any Hirepeak Site under the supervision of a parent, legal guardian, or other responsible adult.
The Hirepeak Services provides its Users with content in the form of questions, question sheets, and position templates (“HirePeak Content”). Hirepeak also allows its Users to provide their own Content and individuals to submit content through the Content Generation Service. (referred to as “User Content”, both Hirepeak Content and User Content is collectively referred to as “Content”). The Content is subject to these Terms and should be used in accordance with all State and Federal laws and regulations.
The Content, as well as any designs, text, graphics, images, information, logos, software and other Content are protected under copyright, trademark and other intellectual property laws. All Hirepeak Content is the property of Hirepeak or its licensors or affiliates.
Any code that Hirepeak creates to generate or display any Content or the pages making up any Hirepeak Site, application or service is also protected by copyright and You may not copy or adapt such code.
You agree not to sell or modify the Hirepeak Content or reproduce, display, publicly perform, distribute, or otherwise use the Hirepeak Content in any way for any public or commercial purpose, in connection with product or services that are not those of the Hirepeak Sites, in any other manner that is likely to cause confusion among consumers, that disparages or discredits Hirepeak or its licensors, that dilutes the strength of Hirepeak’s property, or that otherwise infringes Hirepeak’s intellectual property rights. You further agree to in no other way misuse Hirepeak Content. The use of the Hirepeak Content or any application, web site or in a networked computer environment for any purpose is prohibited.
You represent and agree to all of the following and acknowledge that Hirepeak is explicitly relying on such representations and agreements with regard to your User Content and your use of any Content made available through the Hirepeak Services:
- Any User Content You provide represents your own original work and/or You have all necessary rights to disclose the User Content. In doing so, you are not violating the rights of any third party and you know of no other individual or entity whose rights will be infringed or violated by the User Content being viewed and used as described in these Terms.
- You agree to use Hirepeak Services only for purposes that are legal, proper and in accordance with these Terms. Your disclosure of your User Content does not violate a confidential relationship with any third party or establish a confidential relationship with Hirepeak.
- You understand that You are responsible for the User Content that You upload, post, e-mail, transmit, or otherwise make available through the Hirepeak service or the Content Generation service. Except as permitted in these Terms, You do not have the rights to use, reproduce, create derivative works of, distribute, publicly perform or publicly display any Content that does not belong to you, other than viewing of Content or the associated Candidate/Comparison Reports or through the Hirepeak service.
Use of the Hirepeak Services
The interviewing tools and other Hirepeak Services provided by Hirepeak may only be used by a User seeking to employ or hire any individual(s) or independent contractors. Your use of the Hirepeak Services is also subject to any other contracts You may have with Hirepeak. In the case of any conflict between these Terms and any contract you have with Hirepeak, the terms of your contract will prevail.
You are responsible for maintaining the confidentiality of Your account, profile, and passwords. You may not share Your password or other account access information with any other party, temporarily or permanently, and You shall be responsible for all uses of your Hirepeak Site registrations, passwords and Content, whether or not authorized by You. You agree to immediately notify Hirepeak of any unauthorized use of Your account..
User agrees to provide accurate and complete information for purposes of registration; which User will fill out online in order to gain access to the Hirepeak Services.
All Hirepeak Users Agree To Not
- Transmit, post, distribute, store, or destroy material, including without limitation Hirepeak and User Content, in violation of any applicable law or regulation, including but not limited to laws or regulations governing the collection, processing, or transfer of personal information, or in breach of Hirepeak’s policy;
- Take any action that imposes an unreasonable load on any Hirepeak Site’s infrastructure;
- Use any data mining, robots, or similar data gathering or extraction methods;
- Violate or attempt to violate the security of any Hirepeak Site including attempting to probe, scan, or test vulnerability of a system or network or to breach security or authentication measures without proper authorization;
- Reverse engineer or decomplete any parts of any Hirepeak Site;
- Aggregate, copy or duplicate in any manner any of the Hirepeak Content or information available from any Hirepeak Site, including interviewing tools, other than permitted by these Terms;
- Share with any third party any login credentials to any Hirepeak Site;
- Promote or endorse an illegal or unauthorized copy of another person’s copyrighted work;
- Use the Hirepeak Service for any unlawful purpose or any illegal activity;
- Submit any Content that is defamatory, libelous, implicitly or explicitly offensive, vulgar, obscene, threatening, abusive, hateful, racist, discriminatory or improper in any manner, as determined by Hirepeak’s discretion;
- Use Hirepeak’s Services in any manner that does not comply with applicable local, national, and international laws, including but not limited to laws relating to labor and employment, equal employment opportunity and employment eligibility requirements, data privacy, data access and use, and intellectual property.
Additional Terms Applicable to Employers
Employers are solely responsible for their User Content on Hirepeak and use of the Hirepeak Services. Hirepeak is not to be considered to be an employer with respect to Your use of any Hirepeak Site and Hirepeak shall not be responsible for any employment decision, for whatever reason, made by any entity utilizing the Hirepeak Site or Services.
You understand and acknowledge that if You cancel Your account or Your employer account is terminated for any reason, all of Your account information from Hirepeak, including all User Content submitted by You, will be marked as deleted and may be deleted from Hirepeak’s databases.
You shall use the Hirepeak Services in accordance with all applicable privacy and data protection laws.
The Content Generation feature allows individuals or other Users to submit potential questions to Hirepeak for use on this Site. If Hirepeak accepts the question submitted, the individual will be compensated for the submission. The decision to compensate and the amount to compensate is at Hirepeak’s sole discretion. Once compensated for such a submission, the submission becomes the sole property of Hirepeak.
These Terms are applicable to any Users or individuals submitting questions through the Content Generation Services. As such, any individuals submitting questions through Content Generation are solely responsible for any Content submitted. By utilizing the Content Generation feature, any individual represents that the submission is his or her own work and not protected by any copyright or other intellectual property laws. Hirepeak has no liability for any Content that is submitted through Content Generation.
Policy Regarding Copyright Or Other Intellectual Property Rights Of Others
Hirepeak respects the intellectual property of others, and we ask our Users to do the same. The unauthorized use, in any way, of copyrighted works constitutes infringement of the copyright owner’s rights. As a condition of Your use of the Hirepeak Site, You agree not to use the Site to infringe the intellectual property rights of others in any way. Hirepeak reserves the right to terminate the accounts of Users, and block access to the Site of any Users who are infringers of the copyright or other intellectual property rights of others. Hirepeak reserves the right, in its sole discretion, to take these actions to limit access to the Site and/or terminate the accounts at any time, with or without notice, in Hirepeak’s sole discretion, Users who infringe any intellectual property rights of others, with or without notice.

If you use the Hirepeak Sites through a mobile device, You agree that information about Your use of the Hirepeak Sites through your mobile device and carrier may be communicated to us, including but not limited to Your mobile carrier, Your mobile device, or Your physical location. Use of the Hirepeak Site through a mobile device may cause may cause data to be displayed on and through Your mobile device. Accordingly, You represent that to the extent You import any of Your Hirepeak Content or data to Your mobile device, You have the authority to share the transferred Content or data with Your mobile Carrier or other access provider.
In the event You change or deactivate Your mobile account, You must promptly update Your Hirepeak account information to ensure that Your information is not sent to the person that acquires Your old number and failure to do so is Your responsibility. You acknowledge You are responsible for all charges and necessary permissions related to accessing the Hirepeak Sites through Your mobile access provider. Therefore, You should check with Your provider to find out if the Hirepeak Site is available and the terms of these services for Your specific mobile devices.
By using any downloadable application to enable Your use of the Hirepeak Site, You are explicitly confirming Your acceptance of the terms of the End User License Agreement associated with the application provided at download or installation, or as may be updated from time to time.
The Hirepeak Site acts as, among other things, an interviewing tool for employers. Hirepeak does not participate in any way in the interviewing process. Hirepeak is not involved in the actual transaction between employers and candidates. As such, Hirepeak is not responsible for User Content, the safety or quality of the jobs, the resumes posted, the ability of the employer to offer a job and Hirepeak makes no representation about any job, resume or User Content on the Hirepeak Site. While Hirepeak reserves the right, in its sole discretion, to remove User Content or other material from the Site, Hirepeak does not assume any obligation to do so and to the extent permitted by law, disclaims any liability for failing to take any such action.
Hirepeak encourages You to keep a back-up copy of any of Your User Content. To the extent permitted by law, in no event shall Hirepeak be liable for the deletion, loss, or unauthorized modification of any User Content.
Your access to and use of the Hirepeak Services or any Content is at your own risk. You understand and agree that the Services is provided to you on an “AS IS” and “AS AVAILABLE” basis. Without limiting the foregoing, HIREPEAK AND ITS PARTNERS DISCLAIM ANY WARRANTIES, EXPRESS OR IMPLIED, OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We make no warranty and disclaim all responsibility and liability for the completeness, accuracy, availability, timeliness, security or reliability of the Services or any related Content. Hirepeak will not be responsible or liable for any harm to your computer system, loss of data or Content, or other harm that results from your access to or use of the Services or any Content. You also acknowledge that Hirepeak has no responsibility or liability for the deletion of, or the failure to store or to transmit, any Content and other communications maintained by the Services. Hirepeak makes no warranty that the Services will meet your requirements or be available on an uninterrupted, secure, or error-free basis.
You shall defend, indemnify, and hold harmless Hirepeak, its affiliates and each of its, and its affiliates employees, contractors, directors, suppliers and representatives from all liabilities, claims, and expenses, including reasonable attorneys' fees, that arise from or relate to your use or misuse of, or access to, the Site, Service, Content or otherwise from your submissions, violation of the Terms of Service, or infringement by You, or any third party using your account, of any intellectual property or other right of any person or entity.
Limitation of Liability
IN NO EVENT SHALL HIREPEAK, NOR ITS DIRECTORS, EMPLOYEES, OFFICERS, AGENTS, PARTNERS, SUPPLIERS, SUBSIDIARIES, AFFILIATES, OR CONTENT PROVIDERS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, THE PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, GOOD-WILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES; (iii) FOR ANY BUGS, VIRUSES, TROJAN HORSES OR THE LIKE; (iv) ANY CONTENT OBTAINED FROM THE SERVICES; AND (v) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT HIREPEAK HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU.
Hirepeak is not liable for any reliance on the Content provided on the network or by a User. This limitation shall also apply with respect to damages incurred by reliance on any information or advice received through the services, including but not limited to the professional interviewer service.
User bears all responsibility for its career and hiring decisions. User must exercise reasonable care in selecting an applicant. The services provided herein are not to act as a shield, barrier, or filter for negligent hiring practices. The services are to act as a supplement to other hiring practices and procedures used by User. Failure of User to perform its due diligence with respect to the overall hiring practice shall not result in Hirepeak’s liability. The service is only intended to aid, not replace, some elements of the hiring process. By agreeing to these Terms, User acknowledges that Hirepeak is not, and does not become, an agent, representative, or affiliate of User.
These Terms and any action related thereto will be governed by the laws of the State of New Jersey without regard to or application of its conflict of law provisions or your state or country of residence. Any dispute arising from or relating to the subject matter of this Agreement shall be finally settled by arbitration in Hudson County, New Jersey, using the English language in accordance with the rules and procedures of the American Arbitration Association (“AAA”) then in effect.
Term and Termination
These terms will remain in full force and effect while You are a User of any Hirepeak Site. Hirepeak reserves the right, at its sole discretion, to pursue all of its legal remedies, including but not limited to removal of Your User Content from the Hirepeak Site and immediate termination of Your registration with or ability to access the Hirepeak Site and/or any service provided to you by Hirepeak, upon any breach of these Terms or if Hirepeak is unable to verify or authenticate any information You submit to a Hirepeak Site registration.
